July 31 (Reuters) - Britain's Sainsbury's said on Friday it had agreed to sell its digital retailing business Argos to Swift Partners for at least £120 million ($161.28 million), as the supermarket group sharpens its focus on its core food business.
The company has been navigating an increasingly competitive UK grocery market, where major retailers have lowered prices and increased promotional activity to defend market share, putting pressure on sales growth and margins across the sector.
The deal marks the latest step in Sainsbury's strategy to streamline its operations and concentrate investments in grocery retailing, following previous divestments, including parts of its banking business and the Argos Financial Services portfolio.
Under the agreement, the supermarket group expects to receive cash proceeds of at least £120 million, including at least £70 million upon completion in February 2027, with the remainder to be paid over the following three years.

Sainsbury's said the sale would have a broadly neutral impact on underlying operating profit and be low single-digit accretive to underlying earnings per share, although it expects to record a non-cash impairment charge of around £350 million related to the transaction.
Britain's second-largest supermarket group also reiterated its fiscal 2027 forecast for underlying operating profit of £975 million to £1.08 billion and retail free cash flow of more than £500 million.
